Software license concerns: connect the terms to the conduct

Start with the agreement that actually applies to the relevant account, release, and period. A current website license may not be the terms a customer accepted. Preserve the path from the governing document to the observed conduct.

Assemble the licensing record

  • Identify signed agreements, order forms, amendments, accepted online terms, and relevant dates.
  • Define the suspected mismatch: seats, deployment, redistribution, access, or another contractual restriction.
  • Identify permitted usage records and the limits of what they establish.

Separate interpretation from measurement

A usage observation needs a clear definition and reliable source. Contractual interpretation belongs with counsel. Define whether the requested review is a commercial reconciliation, a technical validation exercise, or preparation for a dispute.

Copyright rights and contractual permissions can intersect, but a contractual concern should not automatically be described as infringement. The applicable text, rights, conduct, governing law, and available defenses require review.
